Navis Capital Partners commissioned ESC to conduct an Environmental and Social Due Diligence (ESDD) for a portfolio of educational companies in Hanoi, Vietnam.
About the Project
Navis Capital and one of the existing portfolio companies are interested in an acquisition transaction of an existing education company. In order to comply with Navis’ Responsible Investment Policy, an ESDD is required to be conducted. The transaction would include two existing and operational campuses and one greenfield for an upcoming development.
Our Approach
ESC worked closely with the Navis Capital team and the education company throughout the preparation and implementation processes, including developing the implementation plan, monitoring document submission progress, planning virtual interviews and site visits, and finalizing the plan together before implementation.
A series of assessments, stakeholder interviews, and virtual field visits allowed us to identify key environmental and social red-flagged issues, such as assessment and management of environmental and social risks and impacts, labor and working conditions, resource efficiency and pollution prevention, community health, safety, and security, land acquisition and involuntary resettlement, as well as biodiversity conservation and sustainable management.
Outcome
Through portfolio analysis, ESC was able to identify red-flagged issues, inform strategy, and demonstrate its impact to the stakeholders. The project managed to achieve statutory requirements and successfully assessed environmental risks associated with the acquisition transaction.
